The Company

Per the red herring prospectus dated October 19, 2026, EAAA India Alternatives (formerly Edelweiss Alternative Asset Advisors Limited, incorporated in 2008) describes itself as "one of the leading alternatives platforms in India, in terms of assets under management", citing a CARE report. It reports assets under management of Rs 953,448.78 million as of June 30, 2026, and fee-paying AUM (FPAUM) of Rs 486,231.76 million. Its two main verticals are Real Assets, which invests in infrastructure, commercial real estate, perpetual capital and energy transition, and Private Credit, which invests mainly in debt or convertible debt instruments.

The company discloses 11,009 client relationships as of June 30, 2026, including 1,493 repeat clients, with about 49.32% of AUM contributed by institutional clients.

The offer document reports total income of Rs 9,637.59 million in fiscal 2026, against Rs 7,865.43 million in fiscal 2025 and Rs 5,842.52 million in fiscal 2024. Profit for the year was Rs 2,651.97 million in fiscal 2026, Rs 2,297.79 million in fiscal 2025 and Rs 1,751.60 million in fiscal 2024. For the three months ended June 30, 2026, total income was Rs 3,361.30 million and profit Rs 807.06 million. Management and advisory fees made up 60.08% of fiscal 2026 total income, and variable additional return 30.14%, the company discloses.

The promoters are Edelweiss Financial Services Limited, Edelweiss Securities and Investments Private Limited (ESIPL), Edel Finance Company Limited and Edelweiss Global Wealth Management Limited. ESIPL holds 5,79,16,502 shares, or 89.58% of pre-offer capital, the RHP states.

The Offer Structure

The issue is entirely an offer for sale of shares of face value Rs 5 each aggregating up to Rs 12,000 million (Rs 1,200 crore) by ESIPL, the promoter selling shareholder; there is no fresh issue. Per the RHP, the company "will not receive any proceeds from the Offer", which go to the selling shareholder after offer expenses. The stated objects are to carry out the offer for sale and to achieve the benefits of listing. The RHP records ESIPL's weighted average cost of acquisition at Rs 54.45 per share. At the upper end of the band, Rs 1,200 crore works out to about 72.07 lakh shares, of which 21,62,161 have now gone to anchors.

Per the RHP, not more than 50% of the offer is available to qualified institutional buyers (up to 60% of that portion to anchors), not less than 15% to non-institutional investors and not less than 35% to retail individual investors. NSE's issue information shows a bid lot of 9 shares, putting the minimum application at Rs 14,985 at the upper end, with retail bids capped at Rs 2 lakh. There is no employee discount. The book-running lead managers are Axis Capital, Jefferies India, Motilal Oswal Investment Advisors and Nuvama Wealth Management. MUFG Intime India is the registrar, and NSE is the designated stock exchange.

Risk Factors

The RHP's risk-factors section opens with the volatility of variable additional return, the performance-linked income the company earns once a fund clears its hurdle rate. The company discloses that the timing and receipt of this income "are inherently unpredictable and contribute to the volatility" of cash flows, and that of Rs 6,847.20 million recognised from fiscal 2024 to June 30, 2026, Rs 3,976.54 million had been realised.

The offer document also lists dependence on management and advisory fees, GP income and variable additional return, so that adverse fund performance, competition or fee changes could reduce income and profit. It discloses that most fund investments are illiquid, so valuations involve "significant subjectivity" and may never be realised.

Among the other risks the company discloses are the absence of directly comparable Indian listed peers, which it says may affect investor perception and valuation; client concentration, with its top 10 clients contributing 26.20% of FPAUM as of June 30, 2026; and regulatory actions involving promoters and group companies, including past RBI cease-and-desist orders on two group entities that the RHP says were lifted in December 2024, and pending SEBI settlement applications.

What Happens Next

Bidding runs from October 26 to October 28, 2026, between 10 am and 5 pm, with the UPI mandate cut-off at 5 pm on the closing day, per NSE. Applications are made through ASBA, including UPI for individual bidders.

Per the RHP's indicative timetable, the basis of allotment is to be finalised on or about Thursday, October 29, with refunds or unblocking of funds and credit of shares to demat accounts on or about Friday, October 30. Trading on the BSE and NSE is scheduled to commence on or about Monday, November 2, 2026, subject to final listing and trading approval from the exchanges.
