The Company
Per the red herring prospectus dated October 10, 2026, Tonbo Imaging describes itself as "a global defence electronics original equipment manufacturer". It designs, develops and manufactures sensing, processing, communication and guidance systems, and its portfolio includes thermal imaging cores, weapon sights, hand-held thermal imaging binoculars, targeting systems, missile seekers and fire control systems. The company discloses that it has over 28,000 systems deployed across 24 countries as of June 30, 2026, and that it has owned 100% of its intellectual property since Fiscal 2024 following assignment agreements with CEAQ Singapore.
The company was incorporated in 2003 and, per the RHP, transitioned into a defence-focused product manufacturer in 2012 after a buyout by its promoters, Ankit Kumar, Arvind Kondangi Lakshmikumar and Cecilia D'Souza. Its products are split into tactical systems and platform systems.
On restated financials, the RHP reports revenue from operations of Rs 3,626.48 million in Fiscal 2026, down 22.69% from Rs 4,690.80 million in Fiscal 2025, against Rs 4,281.89 million in Fiscal 2024. Risk Factors
The RHP's risk-factors section opens with cyclicality: the company states its business is "geopolitically driven and subject to government budget cycles", and that tender-based procurement results in poor revenue visibility. It also discloses that it typically has short-term, non-recurring, tender-based contracts with most customers, while some customers have contributed significantly to revenue.
Among the other risks the company discloses are its dependence on a limited number of global suppliers for critical components such as infrared focal plane arrays, OLED micro displays and specialised optics, and its concentration in tactical systems, which accounted for 58.37% of revenue from operations in Fiscal 2026 and 77.24% in Fiscal 2025. The RHP also reports negative net cash flow from operating activities of Rs (146.83) million, Rs (632.16) million and Rs (1,361.19) million for the three months ended June 30, 2026 and Fiscals 2026 and 2025 respectively.
Finally, the offer document discloses that, after the filing of its previous draft red herring prospectus, complaints were made against the company, including by anonymous persons, to SEBI, the lead managers, the stock exchanges and the Ministry of Defence, and that such complaints may affect its reputation.
What Happens Next
With bidding closed, the RHP's indicative timetable sets the finalisation of the basis of allotment with NSE, the designated stock exchange, on or about Wednesday, October 21, 2026. Refunds and unblocking of funds from ASBA accounts, and the credit of equity shares to demat accounts, are scheduled on or about Thursday, October 22, 2026.
Trading in the shares on BSE and NSE is scheduled to commence on or about Friday, October 23, 2026. The final offer price is fixed by the company in consultation with the lead managers within the announced band.
