A SEBI adjudicating officer has imposed penalties totalling Rs 18 lakh on Taurian MPS Ltd, two of its directors and its IPO merchant banker, Gretex Corporate Services Ltd, over disclosures in the company's IPO offer document. The order, dated 27 October 2026, fines the company Rs 5 lakh, the two directors Rs 5 lakh jointly and severally, and Gretex Rs 8 lakh.
What Happened
SEBI examined the offer document after receiving a complaint about Taurian MPS's initial public offer (IPO), an SME issue on the NSE Emerge platform that opened on 9 September 2025 and listed on 16 September 2025, according to the order. A show cause notice alleged that disclosures about certain promoter group and non-promoter group entities were not made, or not adequately made, under SEBI's Issue of Capital and Disclosure Requirements (ICDR) Regulations.
The order found that the contravention established concerned the non-disclosure of Taurian Engineering Pvt Ltd as part of the promoter group, and of its liquidation status, even though the shareholding threshold in the ICDR Regulations for treating it as promoter group was met. The order says one promoter raised her stake in that company from 19% to 80% between 2012 and 2023. SEBI held this was a disclosure failure in the offer document itself, not a mere internal compliance lapse.
The noticees argued that the complainant had withdrawn the complaint, that no investor had been harmed, and that NSE had scrutinised the documents. The adjudicating officer noted that no gain or investor loss was quantified, but said Section 15HB of the SEBI Act sets a minimum penalty once a violation is established, and took into account four earlier SEBI actions against Gretex.
What It Means
An offer document is what investors rely on when deciding whether to apply in an IPO, so SEBI requires full disclosure of promoter group entities and material facts such as liquidation. The penalties must be paid within 45 days of receipt of the order, failing which SEBI may start recovery proceedings, according to the order. SEBI's order is a regulator's finding and can be appealed before the Securities Appellate Tribunal.
