The Securities and Exchange Board of India (SEBI) has imposed a penalty of Rs 5 lakh on Integra Switchgear Limited, a BSE-listed company, and a penalty of Rs 8 lakh, payable jointly and severally, on 16 members of its promoter group, including Bimal Switchgear Private Limited. The adjudication order is dated 30 October 2026.

What Happened

According to the order, the case arose when SEBI examined a draft letter of offer filed by an acquirer for shares of the company in 2024. The show cause notice to the company alleged that its shareholding patterns filed with the stock exchange wrongly classified certain shareholders as public or promoter, and that people were moved between the promoter and public categories without an application to BSE or its approval, as the listing rules require. BSE confirmed to SEBI, according to the order, that it had received no such application. The notice also alleged that the company did not disclose these reclassifications as material events.

The order imposed the Rs 5 lakh penalty on the company under Section 15HB of the SEBI Act for violations of several provisions of the listing rules (the LODR Regulations) on shareholding patterns, reclassification of promoters and disclosure. The promoter-group members were penalised under Section 15A(b) of the SEBI Act, which covers failure to furnish required information, for violating Regulations 29(1) and 29(2) of SEBI's takeover rules. The order notes that the material on record did not show any gain made or loss caused to investors.

The company told SEBI that it ceased operations, which it informed BSE of in July 2020. The penalties must be paid within 45 days of receiving the order, failing which recovery proceedings may follow.

What It Means

A company's shareholding pattern tells investors who controls it. The order shows that a listed company cannot move a shareholder between the promoter and public categories without following the stock exchange's approval process. The order is a regulator's finding and can be appealed before the Securities Appellate Tribunal. Shareholders with a complaint against a listed company can file it at https://scores.sebi.gov.in.
