Sundaram Finance board approves buying Sundaram Alternate Assets for up to Rs 75 crore
Sundaram Finance said in a filing with the National Stock Exchange that its board approved buying 100% of Sundaram Alternate Assets from its own subsidiary at a cost not exceeding Rs 75 crore.
Key points
- Sundaram Finance said its board approved on 4 November 2026 the purchase of 100% of Sundaram Alternate Assets Limited.
- The cost will not exceed Rs 75 crore in cash, and the target earned a profit after tax of Rs 2,569.45 lakh in FY 2025-26.
- The deal needs SEBI approval and is expected to complete by 31 March 2027, per the company's filing.
Sundaram Finance Limited said in a filing with the National Stock Exchange that its Board of Directors, at a meeting held on 4 November 2026, approved the proposed acquisition of 100% of Sundaram Alternate Assets Limited (SAAL). The company will pay in cash, at a cost not exceeding Rs 75 crore, excluding stamp duty, taxes and other charges.
What Happened
SAAL is a wholly-owned subsidiary of Sundaram Asset Management Company Limited (SAMCL), which is in turn a wholly-owned subsidiary of Sundaram Finance. Sundaram Finance will buy all 3,90,53,158 equity shares of Rs 10 each that SAMCL holds in SAAL. After the purchase, SAAL will become a direct wholly-owned subsidiary of Sundaram Finance.
The filing says the aim is to simplify the group's shareholding structure, by making SAAL a direct subsidiary instead of a step-down subsidiary.
SAAL manages alternative investment funds and portfolio management services for high net worth individuals, family offices and institutions. It was incorporated on 24 January 2018. The filing gives its figures in Rs lakh:
- Revenue from operations: Rs 10,835.01 lakh in 2023-24, Rs 12,373.58 lakh in 2024-25 and Rs 15,340.66 lakh in 2025-26.
- Profit after tax: Rs 1,830.19 lakh, Rs 1,949.53 lakh and Rs 2,569.45 lakh in the same years.
- For the period to 30 September 2026 (unaudited): revenue of Rs 9,936.31 lakh and profit after tax of Rs 2,107.66 lakh. Net worth stood at Rs 5,967.36 lakh.
The company says the deal is between a holding company and its wholly-owned subsidiary, so it does not need prior Audit Committee approval under Regulation 23(5)(b) of the listing rules. It adds that the transaction is at arm's length. The filing also discloses that an executive vice-chairman, who belongs to the promoter group and is chairman of SAAL, is interested in SAAL to the extent of his directorship.
The acquisition needs approval from the Securities and Exchange Board of India under the rules for mutual funds, portfolio managers and alternative investment funds. The company gives 31 March 2027 as the indicative time for completion.
What It Means
This is a reorganisation inside the Sundaram Finance group. The company's own filing describes the purpose as simplifying ownership, not entering a new business. The approval is a board decision; the purchase is not complete until the regulatory approvals are received. Complaints against listed companies can be made at https://scores.sebi.gov.in.
