The offer is now at the post-close stage, with the basis of allotment the next step.

The Company

SFC Environmental Technologies, based in Navi Mumbai, describes itself in its abridged prospectus filed with SEBI as "an environmental technology company" working in wastewater treatment (WWT), wastewater recycling and reuse, and solid waste treatment (SWT). The company discloses that its primary WWT customers are EPC companies bidding for sewage treatment projects that are ultimately awarded by municipalities and government agencies, while its SWT customers include Goa Waste Management Corporation and oil marketing companies. Its technologies have been delivered for WWT projects across 23 states and five Union territories as of July 31, 2026, per the offer document.

Per the RHP's restated consolidated financial information, revenue from operations was Rs 8,036.29 million in fiscal 2026, against Rs 6,978.58 million in fiscal 2025 and Rs 6,574.95 million in fiscal 2024. Profit after tax was Rs 1,602.13 million in fiscal 2026 and Rs 1,520.08 million in fiscal 2025. For the three months ended June 30, 2026, revenue from operations stood at Rs 1,339.44 million and profit after tax at Rs 14.84 million. Total borrowings were Rs 2,047.65 million as at June 30, 2026, and the company reports a total order book of Rs 15,700.65 million at that date.

The promoters, per the offer document, are Sandeep Sudhakar Asolkar, the chairman and managing director, Priya Sandeep Asolkar, Prachiti Sandeep Asolkar and Saketchandrasingh Pratapsingh Dhandoriya. The promoters together held 42.84% of the pre-offer equity on a fully diluted basis.

The Offer Structure

Per the RHP dated October 19, 2026, the offer combines a fresh issue of equity shares aggregating up to Rs 1,500 million (Rs 150 crore) with an offer for sale of up to 1,56,82,750 shares of face value Rs 2 each. Selling shareholders include promoters Saketchandrasingh Pratapsingh Dhandoriya (up to 37,36,000 shares) and Sandeep Sudhakar Asolkar, jointly with Priya Sandeep Asolkar (up to 9,34,000 shares), alongside other shareholders including Sarvesh Kumar Garg (up to 35,65,000 shares). The bid lot was 45 shares, which at the upper end of the band amounts to Rs 14,850 per lot, per NSE's issue information.

The company states it will use the net fresh-issue proceeds for prepayment of certain borrowings of the company and its wholly owned subsidiary Vasudha Waste Treatment Private Limited (Rs 422.28 million), funding working capital requirements (Rs 749.17 million) and general corporate purposes. The company will not receive any proceeds from the offer for sale.

Per the anchor allocation letter filed with the exchanges, 60,68,460 shares were allotted to anchor investors on October 26 at Rs 330 per share, roughly Rs 200.26 crore. IIFL Capital Services, JM Financial and Nuvama Wealth Management are the book-running lead managers, and MUFG Intime India is the registrar. Risk Factors

The offer document lists dependence on government-linked work among its top internal risks. The company discloses that revenue directly or indirectly attributable to government entities or tenders was 92.35% of WWT segment revenue in fiscal 2026, and 100% of SWT segment revenue, so any reduction in such projects or adverse policy change could affect its business.

Among the other risk factors the company discloses are customer concentration, with a significant share of revenue from its top 10 customers and no long-term contracts with most of them, and negative operating cash flows in certain past periods. The restated figures show net cash flow from operating activities of minus Rs 258.02 million in fiscal 2026.

The RHP also flags high working capital requirements, stating working capital as a percentage of revenue from operations was 65.19% in fiscal 2026 and 561.06% for the three months ended June 30, 2026. It further discloses that certain corporate records and filings "are not traceable or have certain discrepancies", and that the company is party to legal proceedings whose adverse outcome could create liabilities.

What Happens Next

With bidding closed, the registrar, MUFG Intime India, works with the designated stock exchange, NSE, to finalise the basis of allotment. Where a category is oversubscribed, shares are allocated under the method set out in SEBI's ICDR Regulations; for retail bidders, this generally means a lottery to give as many applicants as possible the minimum lot.

Under SEBI's T+3 listing timeline, allotment, the unblocking of funds for unsuccessful applications, the credit of shares to demat accounts and the start of trading on the NSE and BSE follow within three working days of the issue close. The final offer price and post-offer shareholding will be set out in the prospectus filed with the Registrar of Companies.
