Dabur India Limited said in a filing with the National Stock Exchange on 6 November 2026 that the Securities and Exchange Board of India (SEBI) has issued it an administrative warning letter. According to the filing, SEBI alleges the company was late in disclosing a warning letter it received from the US Food and Drug Administration (US FDA) on 24 July 2026.
What Happened
Dabur said it received SEBI's letter by email on 6 November 2026 at 12.40 p.m. The company described it as an "administrative warning and advice letter" asking it to be careful in future to avoid recurrence of such lapses, namely delay in disclosure.
According to the filing, the letter alleges a violation of Regulation 30(6)(iii) of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015. Regulation 30 requires listed companies to tell the stock exchanges promptly about important events. The delay alleged is in disclosing the US FDA warning letter dated 24 July 2026.
The SEBI letter, which Dabur annexed to its filing, says the non-compliance "has been viewed seriously" and that the company and its Board of Directors are warned and advised to be careful in future. It adds that any repetition will be viewed seriously and that appropriate enforcement action would be initiated under the SEBI Act, 1992, and the rules, regulations or circulars made under it.
SEBI also asked the company to place the letter before its board of directors at the upcoming board meeting and to forward the board's comments to SEBI on whether the directors are satisfied with the corrective steps taken to ensure future compliance. The letter further advises the company to disclose the warning to the stock exchanges, which Dabur has done through this filing.
Dabur said there is "no impact on the financial operations and other activities of the company" due to the warning letter. It also said: "the Company has always been the most compliant in following all the SEBI Listing Regulations" and that it "will take necessary steps to address the concern/directive mentioned in the aforesaid letter."
What It Means
An administrative warning is a regulatory communication that cautions a company. The filing does not mention any monetary penalty, and Dabur says the warning has no impact on its finances or operations.
For shareholders, the filing shows that SEBI expects listed companies to tell the exchanges about regulatory letters, including those from overseas regulators, without delay. Dabur's board has been asked to review the letter and respond to SEBI.
The filing does not describe the contents of the US FDA warning letter, so this report does not either. Investors who have a complaint against a listed company can raise it at https://scores.sebi.gov.in.
