Camlin Fine Sciences Limited said in a filing with the National Stock Exchange that the Securities and Exchange Board of India (SEBI) has issued it an administrative warning letter dated 29 October 2026. The letter concerns the company's shareholding pattern filings for the quarters ended 30 June 2016 to 31 March 2023, and the company received it by courier on 30 October 2026.

What Happened

According to the SEBI letter, which the company attached to its filing, two persons who were related to a promoter of the company fell within the promoter and promoter group category and had to be disclosed that way. SEBI said the company instead showed them as public shareholders in its filings for those quarters.

SEBI said the company later revised the filings for the relevant quarters retrospectively. It found that by showing the two persons under the public category, the company had given inaccurate or misleading shareholding pattern disclosures to the stock exchanges. SEBI said this violated Regulations 31(1) and 31(4), read with Regulations 4(1)(c) and 4(1)(e), of its Listing Obligations and Disclosure Requirements (LODR) Regulations.

SEBI said it viewed the violation seriously. It warned the company and its board of directors to be careful in future and to improve compliance standards to avoid a recurrence, failing which "appropriate enforcement action may be initiated in accordance with law". The letter did not impose a monetary penalty. SEBI also advised the company to disclose the letter to the stock exchanges and place it before the board at its next meeting.

The company said in its filing that there was no impact on its financial, operational or other activities, and that the letter will be placed before the board at its ensuing meeting.

What It Means

An administrative warning is a regulatory communication from SEBI. In this letter SEBI did not levy a penalty or restrict the company's business.

The shareholding pattern is the quarterly table in which a listed company shows how much of its shares are held by its promoters and by the public. The category matters because it tells investors how much of the company is held by the people who control it.
