The Development

Ratnadeep Retail Limited, the Hyderabad-headquartered operator of the Ratnadeep supermarket and National Mart hypermarket chains, has received the Securities and Exchange Board of India's observations on its draft offer document. According to SEBI's processing status of draft offer documents as on October 30, 2026, observations on the company's initial public offering were issued during the week on October 27, 2026. The regulator's record shows the draft was received on July 1, 2026, with Motilal Oswal Investment Advisors as the coordinating lead manager.

The draft red herring prospectus dated July 1, 2026 sets out a proposed offer comprising a fresh issue of equity shares aggregating up to Rs 400 crore and an offer for sale of up to 1,48,60,000 equity shares by three promoter selling shareholders. The total offer size will only be known once a price band is fixed.

SEBI's observations are clearance for the company to proceed with the process; they are not an approval of the issue's merits. The DRHP itself states that the shares have "neither been recommended, nor approved" by SEBI. The development was reported by The Economic Times.

The Company

Per the DRHP, Ratnadeep Retail was incorporated in February 1995 as Evergreen Finance Private Limited, took the name Ratnadeep Super Market Private Limited in 2001 and became a public limited company in June 2026. It runs food, grocery and value-fashion retail through two store formats, "Ratnadeep" and "National Mart", and the company discloses an assortment of more than 30,000 SKUs. As of March 31, 2026 it had 190 stores across 17 districts: 168 in Telangana, 8 in Andhra Pradesh and 14 in Karnataka.

The restated financials in the DRHP show revenue from operations of Rs 2,223.14 crore in fiscal 2026, against Rs 1,987.72 crore in fiscal 2025 and Rs 1,680.04 crore in fiscal 2024, a compound annual growth rate of 15.00% as the company states it. Profit for fiscal 2026 was Rs 36.70 crore. The company reported a loss of Rs 26.69 crore in fiscal 2025, which it attributes primarily to higher depreciation, finance costs and employee benefit expenses, after a profit of Rs 15.84 crore in fiscal 2024.

The DRHP names Sandeep Agarwal, Manish Bhartiya, Mitesh Bhartiya, Yash Agarwal and Kavita Agarwal as promoters. The offer is being made under Regulation 6(2) of the SEBI ICDR Regulations because, the document discloses, the company did not meet the average operating profit test under Regulation 6(1)(b) for the three preceding fiscals.

The Offer Structure

The fresh issue is of up to Rs 400 crore. The offer for sale comprises up to 85,44,500 shares from Sandeep Agarwal and up to 31,57,750 shares each from Manish Bhartiya and Mitesh Bhartiya, per the DRHP. The face value is Re 1 per share. The company may undertake a pre-IPO placement of up to Rs 80 crore before filing the red herring prospectus; any amount raised that way will reduce the fresh issue. The price band, lot size, minimum application amount and issue dates are not yet fixed and will be set out in the RHP.

Per the objects of the offer, Rs 40 crore of net proceeds is earmarked for repayment or prepayment of certain borrowings and Rs 260.03 crore for setting up new Ratnadeep and National Mart stores, deployed across fiscals 2028 to 2030. The balance goes to general corporate purposes, capped at 25% of gross proceeds.

Because the offer is under Regulation 6(2), at least 75% is reserved for qualified institutional buyers, not more than 15% for non-institutional bidders and not more than 10% for retail individual bidders, per the DRHP. Motilal Oswal Investment Advisors, Axis Capital and DAM Capital Advisors are the book-running lead managers, and KFin Technologies is the registrar. The shares are proposed to list on the BSE and NSE. Risk Factors

The DRHP's risk-factors section opens with geographic concentration. The company discloses that Telangana contributed 90.78% of revenue from operations in fiscal 2026, and that its top five stores by revenue are all in that state. Product concentration follows: the FMCG and staples categories together contributed 78.23% of fiscal 2026 revenue, per the offer document.

Among other risks the company discloses are its fiscal 2025 loss and the possibility that it may not increase profits or execute its growth strategy, and its reliance on third-party suppliers, since it does not manufacture products in-house. The DRHP also lists the rapid growth of quick commerce as a risk to footfalls, sales and competitive position.

The offer document further discloses that part of the net proceeds will go towards prepaying a loan from Axis Bank, the parent of book-running lead manager Axis Capital, which had Rs 25.43 crore outstanding as of March 31, 2026. The company states that it does not believe this creates a conflict of interest under SEBI's regulations. Certain promoters have also given personal guarantees for the company's loan facilities, per the DRHP.

What Happens Next

With observations issued, the next step in the standard process is the filing of a red herring prospectus with the Registrar of Companies, which will carry the price band and issue dates. The DRHP states that the price band will be advertised at least two working days before the bid/offer opening date.

If the company proceeds, the sequence is an anchor investor book one working day before the issue opens, a bidding window of at least three working days, finalisation of the basis of allotment, unblocking of funds for unsuccessful bids, and listing on the BSE and NSE. No dates have been announced. The company is not obliged to launch the issue, and the DRHP may still be updated before the RHP is filed.
