The Development

Mahanadi Coalfields Limited (MCL), the wholly owned coal-mining subsidiary of Coal India Limited, has cleared the Securities and Exchange Board of India's review stage for its proposed initial public offering. SEBI issued its final observations on the company's draft offer documents on November 4, 2026, according to a PTI report carried by Mint. SEBI's observations are a clearance to proceed with the issue. They are not an approval of the offer's merits, and the draft offer document itself states that the shares "have not been recommended or approved" by SEBI.

The company's draft red herring prospectus on SEBI's website is dated August 31, 2026 and appears in SEBI's list of draft offer documents under September 4, 2026. Per the DRHP, the issue is entirely an offer for sale of up to 661,836,300 equity shares (about 66.18 crore shares) of face value Rs 2 each by Coal India, the promoter selling shareholder.

The issue size in rupees, the price band and the issue dates are not yet on the record. They will be set out in the red herring prospectus.

The Company

Per the draft abridged prospectus, MCL is the largest coal producer in India by production in Fiscal 2026, with output of 218.31 million tonnes, which the company says accounted for about 22.4% of India's non-coking coal production (citing a CRISIL report). Its audited coal reserves stood at 9,840.31 million tonnes as at April 1, 2026, which the company discloses would sustain around 45 years of production at the present level.

The company's primary product is non-coking coal, sold in India to state and private power utilities, captive power plants and independent power producers, as well as to the cement and sponge iron industries.

Per the restated consolidated financial information in the DRHP, revenue from operations was Rs 305,495.90 million (about Rs 30,550 crore) in Fiscal 2026, against Rs 313,530.20 million in Fiscal 2025 and Rs 316,343.50 million in Fiscal 2024. Profit after tax was Rs 106,981.20 million (about Rs 10,698 crore) in Fiscal 2026, Rs 108,251.20 million in Fiscal 2025 and Rs 118,415.50 million in Fiscal 2024. For the three months ended June 30, 2026, the company reports revenue of Rs 80,337.70 million and profit after tax of Rs 23,987.80 million, and net worth of Rs 237,690.23 million as at that date.

The promoters, per the DRHP, are the President of India acting through the Ministry of Coal, and Coal India Limited, which holds 100% of the 6,618,363,000 equity shares in issue after a share split approved in August 2026.

The Offer Structure

There is no fresh issue. The objects of the offer, per the DRHP, are to carry out the offer for sale by Coal India and to "achieve the benefits of listing the Equity Shares". The company states that it "will not receive any proceeds from the Offer"; all proceeds, after offer expenses and taxes, go to Coal India. The shares on offer equal 10% of the company's pre-offer equity capital. Coal India's weighted average cost of acquisition is Rs 0.26 per share, as adjusted for the split, per the statutory auditors' certificate cited in the document.

The book running lead managers are SBI Capital Markets Limited, Axis Capital Limited, BOB Capital Markets Limited, IDBI Capital Markets & Securities Limited and IIFL Capital Service Limited. KFin Technologies Limited is the registrar. The shares are proposed to be listed on the NSE and BSE.

The lot size and minimum application amount will be known only once the price band is fixed. Readers working through the arithmetic of an allotment can use Oquilia's lumpsum calculator; earlier primary-market coverage is on the /news desk.

Risk Factors

The DRHP lists a series of risks the company is required to disclose. Among them, the company states that its resource and reserve figures are estimates that "may differ materially", and that some were prepared under Indian Standard Procedure guidelines that differ from international standards.

The company discloses heavy dependence on a single product and sector: raw non-coking coal accounted for 97.41% of sale of products in Fiscal 2026, and the thermal power sector for 68.62%. Government-owned power generators and utilities contributed 44.81% of revenue from operations in Fiscal 2026, which the DRHP says exposes the company to regulatory scrutiny and delayed collection of receivables. Its top 10 customers accounted for 55.94% of revenue in the same year.

The DRHP also lists reliance on Coal India, from which executive employees are seconded, and possible conflicts of interest with other Coal India subsidiaries; dependence on Central Mine Planning & Design Institute Limited for mine planning; reliance on third-party contractors, with the top 10 accounting for 60.02% of contractual expenses in Fiscal 2026; and coal allocation governed by the New Coal Distribution Policy. The litigation summary shows 47 criminal proceedings and 105 tax proceedings against the company, with an aggregate amount involved of Rs 90,847.97 million to the extent quantifiable.

What Happens Next

With observations issued, the next step in the standard process is the filing of a red herring prospectus with the Registrar of Companies, setting out the price band, lot size and dates. An anchor book may open one working day before a bidding window of at least three working days.

After the issue closes, the basis of allotment is finalised by the registrar with the designated stock exchange, funds are debited or unblocked for applicants, and the shares are credited before listing on the NSE and BSE. None of these dates is yet on the official record.

FAQ

Should I apply for this IPO?

Oquilia does not make recommendations. This report is informational and is not investment advice or a recommendation to subscribe. The red herring prospectus, including the complete risk-factors section, will be available on SEBI's website and the exchanges once filed, and the DRHP is available now. Read it directly before making any decision.

What do SEBI's observations mean?

Observations are SEBI's comments on a draft offer document after review. Once issued, the company may file a red herring prospectus. Observations are not an endorsement of the issue, and the offer document itself states that SEBI does not guarantee the accuracy or adequacy of its contents.

How many shares are on offer and who is selling?

Per the DRHP, up to 661,836,300 equity shares of face value Rs 2 each are on offer, about 10% of the company's equity. The only seller is Coal India Limited. Because there is no fresh issue, Mahanadi Coalfields itself receives none of the proceeds.

What is the price band and lot size?

These have not been announced. The DRHP leaves the floor price, cap price and offer size blank. They will be published in the red herring prospectus before the issue opens.

Where can I read the draft offer document?

The DRHP is on SEBI's website under Filings, Public Issues and, the company states, on the NSE, BSE and company websites.

This report is based on the draft red herring prospectus filed with SEBI and its draft abridged prospectus. It was surfaced via coverage in Mint.
