Info Edge (India) said in a filing with the National Stock Exchange that its managing director and chief executive officer will step down from both posts at the close of business on 2 December 2026. The company's board, at a meeting on 28 October 2026, took note of the decision and approved a new leadership structure that begins on 3 December 2026.

What Happened

According to the filing, the managing director and chief executive officer informed the board by a letter dated 27 October 2026 that they would step down after nearly 27 years with the company, including over 16 years in the top role. The company's filing gives the reason as a wish "to devote more time to his personal interests in education, entrepreneurship, institution building, investing and philanthropy, as well as to spend more time with his family". The resignation letter adds that the executive has decided "it is time for me to step back from my full-time operating role".

The board also approved, on the recommendation of its Nomination and Remuneration Committee, the appointment of the outgoing chief executive as an Additional Director from 3 December 2026. The role would be non-executive and non-independent, in the promoter category, and the director would be liable to retire by rotation. This is subject to the approval of the company's members.

To lead the company, the board approved the appointment and re-designation of its founder and vice chairman as executive vice chairman, managing director and group chief executive officer from 3 December 2026. The term runs until 26 April 2031, which is the same end date as the existing term shareholders approved on 25 August 2025. This too is subject to member approval, and the appointee will not be liable to retire by rotation.

The filing says neither person is related to any other director of the company, and that neither is debarred from holding the office of director by any order of SEBI or any other authority. The board meeting began at 10:30 am and ended at 1:45 pm.

What It Means

The filing describes a planned handover of the chief executive's role, with no gap between 2 December and 3 December. The company's stated reason is personal, and the filing does not mention any dispute.

The changes to the board and the new executive appointment will take effect only if shareholders approve them. Shareholders can read the full disclosure, the resignation letter and the company's press release in its filing with the National Stock Exchange.
