Castrol India Limited said in a filing with the National Stock Exchange on 2 November 2026 that BP p.l.c. and an entity of Stonepeak Infrastructure Fund V completed the sale of the business that controls the company on 30 October 2026. As a result, the buyer has indirectly acquired sole control of Castrol India, the filing says.

What Happened

According to the company's filing, BP p.l.c. ("bp") and Motion JVCo Limited, an entity that is part of Stonepeak Infrastructure Fund V, completed the transactions under a sale and purchase agreement dated 23 December 2025. Castrol India had disclosed that agreement on 24 December 2025.

The filing says the buyer has acquired 100% of the equity share capital of Castrol Group Holdings Limited, which in turn holds 100% of Castrol Limited. Castrol Limited is the promoter of Castrol India. It holds 50,44,52,416 equity shares of the company, which is 51.00% of its equity share capital.

Because of this, the filing says, the buyer has indirectly acquired the right to direct how Castrol Limited uses the voting rights on those shares, which make up 51.00% of the total voting rights. It has also acquired sole control over Castrol India.

At the same time, the filing says, the buyer issued and allotted equity shares making up 35% of its own equity share capital to BP Motion Holdings Limited, an indirect wholly owned subsidiary of bp. That gives the bp subsidiary a non-controlling interest in the buyer.

Castrol India said it received this information on 2 November 2026 at 12.44 p.m. IST. For the effect of the closing on the other transaction documents, the filing refers readers to the company's disclosure of 24 December 2025.

What It Means

The filing records a change in who ultimately controls the promoter of Castrol India. The promoter's 51.00% holding in the company itself is unchanged, according to the filing: the same company still holds the same 50,44,52,416 shares.

The filing does not give the price paid for the business. It does not say whether the change triggers any further step for the company's shareholders, and this report does not assume one. Shareholders who want the full terms can read the company's filing with the National Stock Exchange and its earlier disclosure dated 24 December 2025.
