Carlsberg India Limited, an alcoholic beverage company that describes itself as part of the Carlsberg Group, has an updated draft offer document for a share sale on the website of the Securities and Exchange Board of India (SEBI). Its draft abridged prospectus, listed by SEBI on 29 October 2026, summarises an updated draft red herring prospectus dated 27 October 2026. The whole offer is a sale of existing shares by the promoter; the company issues no new shares.

What Happened

According to the draft abridged prospectus, promoter South Asian Breweries Pte. Ltd. will offer up to 86,418,887 equity shares of face value Rs 1 each. There is no fresh issue, so the money raised goes to the selling shareholder, not to the company. The document gives the selling shareholder's average cost of acquisition as Rs 34.81 a share. The promoters named are Carlsberg A/S and South Asian Breweries Pte. Ltd.

The price band, the offer size in rupees and the bidding dates are all left blank in the draft. The shares are proposed to be listed on the BSE and the National Stock Exchange. Kotak Mahindra Capital Company, Citigroup Global Markets India and J.P. Morgan India are the book running lead managers, and MUFG Intime India is the registrar.

The company describes itself as an alcoholic beverage company selling international beer brands in India. It says beer made up more than 99% of its revenue from operations in each period the document covers. As of 30 June 2026, it says, it ran seven owned breweries and sold through 17 states and four union territories. Citing a CRISIL report, it states that its revenue grew at a compound annual rate of 14.6% from FY2024 to FY2026.

What It Means

The figures that decide what a bidder would pay are not yet in the document: the price band and the offer size in rupees are blank, and the post-offer shareholding is to be updated in the prospectus. Because this is a pure offer for sale, the company will not receive any of the proceeds; after offer expenses and taxes, they go to the promoter selling shareholder. The document also lists outstanding litigation, tax matters and regulatory actions involving the company, and asks bidders to read its risk factors carefully before taking an investment decision. The full updated draft is available on the websites of SEBI, the NSE and the BSE.
