Brainbees Solutions Limited, which runs the FirstCry brand, said in a filing with the National Stock Exchange that its material subsidiary Globalbees Brands Private Limited has bought a further 42% of Better & Brighter Homecare Private Limited. The company said the cash price was Rs 16.26 crore and the deal was completed on 3 November 2026.

What Happened

According to the company's filing, Globalbees acquired the 42% stake from other existing shareholders of Better & Brighter, under a Shareholders Agreement dated 22 October 2021. Globalbees's holding in Better & Brighter rises from 58% to 100%, including shares held by a nominee of Globalbees. Better & Brighter was already a step-down subsidiary of Brainbees.

The filing says the consideration was entirely in cash and that no government or regulatory approval was required. It adds that the transaction is at arm's length, and that the group's companies, directors and key managerial personnel have no interest in Better & Brighter except through their shareholding and common directorships.

On the target, the filing says Better & Brighter was incorporated in India on 11 June 2009 and deals in moisture absorbers under the brand name "Absorbia". It reports turnover of Rs 8.83 crore in 2025-26, Rs 14.38 crore in 2024-25 and Rs 10.04 crore in 2023-24. Its net worth in 2025-26 was Rs 9.66 crore. The company classes the business as consumer goods and household products.

The filing also notes that the transaction concerns the Absorbia brand, which is sold through several Globalbees subsidiaries, and that revenue from it is recognised in those subsidiaries. Taken together, the brand generated turnover of more than Rs 20.73 crore in 2025-26, according to the filing.

What It Means

This is a change in how the group holds one of its brands, not a new business. Better & Brighter was already part of the Brainbees group, and the filing describes the purchase as taking Globalbees from 58% ownership to full ownership.

The filing gives the price and the target's own financial figures, but it does not give a reason for the purchase beyond the shareholders agreement under which it was made, and it does not say how the stake purchase will affect Brainbees's results. Readers who want the full disclosure can find it among the company's announcements on the National Stock Exchange website.
