Apar Industries Limited said in a filing with the National Stock Exchange on 30 October 2026 that Petroleum Specialities Pte Ltd, its wholly owned subsidiary, will acquire 70% of the equity in Hebei Jinghuan Cable Co. Ltd, a company incorporated in China. The agreement was to be signed on 30 October 2026. The company estimates the purchase price at RMB 24.85 million, to be paid in cash.

What Happened

According to the company's filing, Hebei Jinghuan Cable makes overhead conductors, the cables that carry power on transmission and distribution lines. The filing describes it as a non-operating entity at present, with turnover of nil in FY25 and nil in FY24. After the deal it will become a step-down wholly owned subsidiary of Apar Industries.

The price is equal to 70% of the target's net asset value on the closing date. The filing puts the estimated price at RMB 24.85 million, at a price-to-book ratio of 1x. That is 70% of a total paid-up capital of RMB 35 million, which the filing calls the registered capital. The company says the target's assets at closing will be mainly bank balances (95%) and machinery and equipment (5%).

Payment is in cash and in instalments. The first instalment of 30% of the purchase price is due within 7 business days of the closing date. The remaining 70% will be held in an escrow account, a neutral account kept with a bank, and released only after the seller meets agreed conditions. The parties will sign an escrow agreement with a bank for this.

The subsidiary also has a call option, which is a right but not an obligation, to buy the remaining 30% from the selling shareholder after five years, at a value set by a third-party valuer under a formula in the agreement.

The company says the deal needs compliance with foreign exchange rules and registration with China's State Administration of Foreign Exchange, to be completed in due course. It says its promoters and group companies have no interest in the target except through the subsidiary's contribution.

What It Means

Apar Industries says it wants to spread its production of aluminium overhead conductors across more countries. The target is meant to run as a business that exports all of its output.

The filing gives no timeline for closing beyond the payment steps above, and it gives no turnover for the target because it has not yet operated.
