Adani Ports and Special Economic Zone Limited (APSEZ) has told the National Stock Exchange that Adani International Ports Holdings Pte. Ltd., or a subsidiary of it, will acquire 100% of Evos B.V. for a cash consideration of Rs 12,491.32 crore. The event took place on 5 November 2026, and the company filed its disclosure on 6 November 2026. Evos B.V. runs liquid storage terminals at ports in Europe.
What Happened
APSEZ said in its filing that the acquirer is a step-down subsidiary of the company. The consideration is entirely in cash, and the acquirer holds no stake in the target at present. The company said the deal is at arm's length and is not a related party transaction. It also said no promoter or group company has an interest in the target.
The filing describes Evos B.V. as Europe's second-largest independent liquid storage operator. It said the target runs eight port-based terminals across seven major ports in five European countries: the Netherlands (Amsterdam East, Amsterdam West, Rotterdam and Terneuzen), Belgium (Ghent), Germany (Hamburg), Spain (Algeciras) and Malta. Total storage capacity is 6.3 million cubic metres.
The terminals store and handle products such as gasoline, gasoil, marine fuels and jet fuel, as well as sustainable aviation fuel, biofuels, methanol and bioethanol. The filing says the target does not own the products it stores. It was incorporated on 5 December 2019.
The filing gives the target's turnover as Rs 4,134.58 crore in 2024-25, Rs 3,870.90 crore in 2023-24 and Rs 3,406.81 crore in 2022-23. It lists a profit after tax of Rs 101.21 crore and a net worth of Rs 951.77 crore.
APSEZ said the deal fits its aim of building a globally diversified, integrated transport platform and gives it a sizeable foothold in Europe.
What It Means
The deal is not complete. The company said it needs government and regulatory approvals in India and in the relevant foreign jurisdictions, and that completion is expected within 15 months from 5 November 2026.
For shareholders, the filing is the company's own description of the transaction and its terms. The company has not given details of how the purchase will be funded in the document reviewed. Any further disclosures will appear in the company's filings with the stock exchanges.
